Wholesale Terms & Conditions

Please review our core brand guidelines in full prior to submitting your application. All applicants must agree to these terms to be considered for an active wholesale account.

1. Resale & Channel Policy

Wholesale accounts are authorized exclusively for resale through approved, physical retail channels.

• Third-Party Platforms: Selling Bidwell Clothing Co. products on third-party online marketplaces (including but not limited to Amazon, eBay, Walmart Marketplace, or Etsy) is strictly prohibited.
• Independent E-commerce: Sales via your own independent boutique website require explicit, prior written approval at the time of application.

2. Brand & Packaging Integrity

To protect the premium positioning of our apparel, our brand presentation must remain uniform across all retail environments.

• No Rebranding: Original brand labels, neck tags, hang tags, and packaging must remain completely intact. Altering, removing, or replacing our branding with private labeling is strictly prohibited.
• Intellectual Property: Approved retailers are granted a limited, non-transferable right to use our brand name, official product assets, and marketing imagery solely for the purpose of promoting and selling our merchandise within your approved storefront.

3. Ordering, Pricing, & Payment

• Minimums: Account activation and subsequent reorders are subject to our standard wholesale opening minimums (e.g., minimum unit counts per style/size breakdown).
• Payment: Full payment is required at the time of order placement via our secure online portal before production allocation or shipping occurs.
• Tax Exemption: To place tax-exempt orders, a valid U.S. EIN / State Resale Tax ID must be provided and validated at checkout.

4. Shipping & Returns

• Fulfillment: Shipping fees are calculated dynamically at checkout and are the sole responsibility of the buyer. Risk of loss transfers to the retail partner once the shipment is handed off to the carrier.
• Final Sale & Inspection Window: All wholesale orders are final and non-returnable. However, we stand firmly behind our production quality. You must inspect your shipment and report any manufacturing defects or order discrepancies in writing within 7 days of delivery for an exchange or store credit adjustment.
